11. Windows Vista Enterprise and Ultimate.
The Desktop Operating System section of the product use rights, as supplemented below, provides your license terms for the software. Your rights to use the software become perpetual when your right to use Vista Business Edition becomes perpetual.

For Windows Vista Enterprise
For each license:

a) You may install and use additional copies of the software within up to four virtual (or otherwise emulated) hardware systems on the licensed device. You may not use more than one copy per system.
b) If you run all five permitted copies on the licensed device at the same time, one copy must be used solely to:
• run the hardware virtualization software, and
• manage and service the virtual (or otherwise emulated) hardware systems on that device.
c) You may install and use a second copy of the software on the licensed device in place of one of the copies permitted for use within virtual (or otherwise emulated) hardware systems above.
d) You may use any edition (Business, Enterprise or Ultimate) or a prior version of the software in place of the licensed version for any of the additional copies permitted above.
e) You must use either
• Vista Enterprise or Ultimate edition, or
• third party software
to run the hardware virtualization software and to service the virtual (or otherwise emulated) hardware systems described above. You may not use any other edition of Windows software for this purpose. This applies despite any downgrade right you may have under your license agreement.

For Windows Vista Ultimate

  • aでは、1つのシステム（コンピュータ）に干すとされる、4つまでの仮想ハードウェアにVistaをインストールできることを言っている
  • bでは、1つのシステムに同時に5つまでのコピーを許すが、うち1つは以下の条件を満たす目的に「のみ」使われなければならない。
    • 仮想ハードウェアを提供するソフトウェア（Virtual Server 2005R2とか）を稼動させる
    • 当該デバイス上で仮想ハードウェアを管理し、サービスする
  • cでは、VMが使うためのVistaのコピーを、物理コンピュータ上にコピーすることを許す
  • dでは、cで許可される範囲（のVM？）において、Vista Business、EnterpriseまたはUltimate）もしくは前のバージョンのWindowsをインストールすることを許す
  • eでは、仮想ハードウェアを提供するソフトウェアを稼動させるために、Vista EnterpriseもしくはUltimate、またはサードパーティソフトウェアを使わなければならない。ここでは、他のEditionのWindowsを使ってはならない。この条件は、ライセンスアグリーメントにダウングレード権があっても、それを行使できないことを意味する。

とりあえず、この条件を勘案すると、Vista EnterpriseやUltimateでVMをホストする場合には、

  • 1つのライセンスでVM4つを使う場合には、ホストはVistaである必要がある（項目bより）
  • 4つのVistaもしくはその前のバージョンのWindows（クライアント系OS）を稼動させることを許す（項目dより）
  • ホストとなるVistaは、ダウングレード権の行使を出来ない（項目eより）
  • 実行するソフトウェアの内容はVMの動作と管理をするもののみになる（項目bより）

ということになるかな。ということで、世の中は甘くなかった。
VMWare ESX ServerなどのVMモニタを使って、その上にWindows Vistaをホストして使う場合には、VMのインスタンス分だけのライセンスが必要となる、という寸法です*1。

そもそもなんで4つまでのVM実行を許可するのか？だけど、「それまでの古い環境をVMにホストする」というのがフォーカスにあるので、「クライアントPC上でVMを使いやすくして、環境移行をやりやすくする」というところか。
